  • Vidrala has finalised the process announced in December 2025 with the acquisition of 100% of the share capital of glass manufacturer Cristalerías Toro for a total enterprise value of €75 million.
  • This marks the establishment of Vidrala Chile, signalling the beginning of a new phase based on the rollout of the Group’s multinational industrial model.
  • The transaction represents a further step in Vidrala’s selectively strategic geographical diversification and a strengthening of its business platform in South America.

Encirc’s parent company Vidrala, a leading multinational group in the manufacture of glass containers, has completed the acquisition of 100% of the share capital of Cristalerías Toro, a glass container producer located in the metropolitan area of Santiago, Chile.

As of today, the company will be known as Vidrala Chile, marking the beginning of a new phase fully integrated within the industrial group Vidrala, which has been providing technical support for several years. Through the new Vidrala Chile, modern, high-quality and competitive service will be offered to a broad range of customers in the food and beverage sectors, many of whom are global, strategic and highly complementary to the Group’s commercial base.

Raúl Gómez, CEO of Vidrala, stated: “We would like to acknowledge the industrial legacy of the Toro family, the company’s founders, the continued support of customers who will form the foundation of the future, and the efforts of the people and management team who run the business under particularly demanding market conditions.

“Today we begin a new chapter. Vidrala Chile is born, integrated into a multinational group with a firmly industrial, long-term and customer-focused vision. Hello Chile, together we look to the future. We will deploy our glassmaking model, creating value in the country, driving the industry and positioning glass as Chile’s definitive packaging material, in service of our purpose: our customers.”

The acquisition has been completed at a total enterprise value of €75 million, including assumed debt. In 2025, Cristalerías Toro generated revenues of 79,915 million pesos and an adjusted EBITDA of 13,216 million pesos, equivalent to €75 million and €12 million, respectively.

Following completion of this acquisition, and in line with the previously outlined strategic assumptions, the Group’s financial position will remain solid, with resulting net debt limited to around 0.5 times annual EBITDA. This milestone represents a further step in Vidrala’s selectively strategic geographical diversification and a strengthening of its business platform in South America.
